Terms and Conditions

1. Definitions

  • Keystone: the platform available at app.branekeystone.com
  • Brane: Brane Keystone (CoC 88236374), established in Utrecht, the Netherlands
  • User: any natural or legal person that uses Keystone
  • Service: all functionality offered through Keystone, including appraisals, transactions, mortgages and inspections
  • Account: the personal account through which the User has access to the Service

2. Applicability

These Terms and Conditions apply to all agreements between Brane and the User regarding the use of Keystone. By creating an Account, the User agrees to these terms.

3. Services

Keystone provides software for real estate professionals to perform appraisals, guide transactions, calculate mortgages and document inspections.

Important notice: Keystone is a tool for professionals. The software does not replace professional judgment, legal advice or expert appraisal. The User remains responsible at all times for the content and quality of appraisal reports, transaction guidance and inspections.

4. Account

An Account is required to use Keystone. When creating an Account:

  • The User provides correct and complete information
  • The User is responsible for keeping login credentials confidential
  • The User is responsible for all activities under the Account
  • The User reports unauthorized use immediately to Brane

5. Pricing and payment

Keystone is currently in development. Pricing will be announced later. Early access users will be informed of pricing in a timely manner before it takes effect. See Early Access for more information.

6. Availability

Brane strives for maximum availability of Keystone but cannot guarantee 100% uptime. Brane is not liable for damage caused by:

  • Scheduled maintenance (with advance notice where possible)
  • Disruptions beyond Brane's control (e.g., network outages, power failures)
  • Force majeure

7. Intellectual property

All intellectual property rights relating to Keystone belong to Brane. This includes:

  • The software, code and architecture
  • Designs, logos and brand identity
  • Documentation and manuals
  • Databases and algorithms

The User receives a non-exclusive, non-transferable right of use for the duration of the subscription. Data entered by the User (appraisals, reports, etc.) remains the property of the User.

8. Liability

Brane's liability is limited to:

  • Maximum amount: the subscription fee paid by the User in the 12 months prior to the event, with a maximum of EUR 500
  • Direct damage: only direct damage is eligible for compensation
  • Indirect damage: Brane is not liable for indirect damage, including lost profits, missed savings, loss of goodwill or damage to third parties

Important disclaimer: Brane is not responsible for the content, accuracy or quality of appraisal reports, transaction documents or inspections generated by the User. The User remains professionally responsible for their own work.

9. User obligations

The User agrees to:

  • Use Keystone exclusively for their own professional activities
  • Not engage in illegal, fraudulent or harmful activities
  • Not attempt to breach security
  • Not perform automated scraping or data mining
  • Not share login credentials with third parties
  • Comply with applicable laws and regulations (including NWWI standards for appraisals)

10. Termination

Either party may terminate the agreement:

  • The User may cancel the Account at any time through the application
  • Brane may cancel the Account in case of violation of these terms
  • Brane may discontinue Keystone with a notice period of 3 months

After termination, data is retained in accordance with the privacy policy and legal retention obligations. The User may request an export of their data within 30 days after termination.

11. Changes

Brane reserves the right to modify these Terms and Conditions. Changes will be announced at least 30 days before taking effect via email or the application. In the event of substantial changes, the User has the right to terminate the agreement.

12. Governing law

These Terms and Conditions are governed by Dutch law. Disputes shall be submitted to the competent court in the Netherlands.
